Terms of Service

By creating an account, clicking "I agree" to these Terms (where provided), or by otherwise accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Services. Your use of the Services constitutes a legally binding agreement between you and PFS.

You represent that you have the legal capacity to enter into this agreement in your jurisdiction and that all information you provide in connection with your account is accurate, current, and complete.

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on the Site, updating the "Last updated" date, and/or sending notice via email or in-product notification where required by law or where we deem it appropriate. Your continued access to or use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services and may terminate your account. It is your responsibility to review these Terms periodically.

You must be at least 13 years of age (or the minimum age in your jurisdiction to consent to use of online services) to use the Services. If you are under 18, you must have your parent or guardian review and agree to these Terms on your behalf. By using the Services, you represent and warrant that you meet these age and eligibility requirements and have the legal authority to bind yourself or, if acting on behalf of an entity, that entity. We may require verification of age or authority at any time.

You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to update it promptly as needed. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must notify us immediately of any unauthorized access or use. We are not liable for any loss or damage arising from unauthorized use of your account, and you may be held liable for losses incurred by PFS or third parties due to such use.

You agree not to use the Services to: (a) violate any applicable law, regulation, or third-party right; (b) infringe, misappropriate, or violate any intellectual property, privacy, or other rights of any person or entity; (c) distribute malware, spam, phishing content, or other harmful or deceptive content; (d) harass, abuse, threaten, stalk, or harm others, or promote violence or discrimination; (e) impersonate any person or entity or falsely state or misrepresent your affiliation; (f) interfere with or disrupt the Services, servers, or networks, or circumvent any access controls, security measures, or usage limits; (g) scrape, crawl, or use automated means to access the Services without our prior written permission; or (h) use the Services for any illegal or unauthorized purpose.

You retain ownership of content you submit. By submitting content to the Services, you grant PFS a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, cache, reproduce, modify, display, perform, and distribute such content in connection with operating, providing, promoting, and improving the Services. This license continues for the duration of your rights in the content and survives termination for content we need to retain (e.g., backups, archival). You represent and warrant that you have all rights necessary to grant this license and that your content does not violate these Terms or any third-party rights. We may remove content or suspend or terminate accounts that violate these Terms or our policies, without prior notice or liability.

If you broadcast or upload content via the Services, you are solely responsible for that content and for obtaining all necessary rights, clearances, and consents. You may not stream, rebroadcast, or distribute content that you do not have the right to use (including third-party broadcasts, music, or video without a license). You may not record, capture, or redistribute another user's stream or content without express authorization. You agree to comply with any community guidelines, acceptable use policies, or content policies we publish. We may remove content, disable monetization, or suspend or terminate accounts for violations. You will not generate fraudulent impressions, clicks, or engagement (including fake tips, fake viewers, or bot traffic), or otherwise manipulate metrics or payments.

The Site provides a platform for live and on-demand webcasts and related features, including events, subscriptions, wallet and tips, teams, and chat. Access to certain content or features may require payment or a subscription. We reserve the right to modify, suspend, or discontinue any part of the Services with or without notice.

Charges and applicable taxes will be billed to your designated payment method. You represent and warrant that your payment information is valid and that you are authorized to use it, and you will update it promptly upon any change. Except as expressly provided in these Terms or required by applicable law, all charges are final and non-refundable. We may change pricing, fees, or payment terms with reasonable notice; your continued use after the effective date of such changes constitutes acceptance. Any billing disputes must be raised in good faith within thirty (30) days of the charge; failure to do so waives your right to dispute. Chargebacks or payment reversals may result in account suspension or termination.

Subscriptions renew automatically until you cancel. You may cancel through your account or subscription settings; cancellation takes effect at the end of the current billing period. No refunds or credits for partial billing periods. We may change subscription fees or terms with advance notice; your continued use after the change constitutes acceptance. If you do not agree to a fee change, you must cancel before the effective date.

The Site and Services, including design, text, graphics, and software, are owned by PFS or our licensors and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

We respect intellectual property rights and respond to valid notices under the Digital Millennium Copyright Act (DMCA) and similar laws. If you believe content on the Services infringes your copyright, please send a DMCA notice to our designated agent (see Contact) with the information required by law. We may remove allegedly infringing content and terminate accounts of repeat infringers. If you believe your content was removed in error, you may submit a counter-notification as permitted by law. You may be liable for damages for misrepresentation in a DMCA notice or counter-notice.

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PFS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PFS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless PFS and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or related to: (a) your access to or use of the Services; (b) your content, conduct, or data; (c) your violation of these Terms or any applicable law or regulation; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any dispute between you and any third party relating to the Services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

We may suspend or terminate your account or access to the Services at any time, with or without cause or prior notice, at our sole discretion, including for violation of these Terms or our policies. You may terminate your account at any time through account settings. Upon termination, your right to use the Services ceases immediately. We are not liable to you or any third party for any termination. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.

These Terms are governed by the laws of the jurisdiction in which PFS is established, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PFS EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE PROCEEDING. Claims must be brought in your individual capacity only.

These Terms, together with the Privacy Policy and any additional terms we provide for specific features, constitute the entire agreement between you and PFS regarding the Services and supersede all prior agreements and understandings. Our failure to enforce any right or provision does not constitute a waiver of such right or provision. If any provision is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. You may not assign or transfer these Terms or your account without our prior written consent; we may assign these Terms without restriction. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control (including acts of God, war, terrorism, pandemics, labor disputes, or failure of third-party services). No agency, partnership, joint venture, or employment relationship is created by these Terms.
